Eligibility & requirements

A private limited company needs a minimum of two directors and two shareholders
An LLP needs a minimum of two designated partners
A One Person Company has exactly one member, who must be an Indian resident
Startup India recognition requires the entity to be under ten years old and turnover under ₹100 crore in any financial year

Why is it needed?

The wrong entity is expensive to fix later — converting a proprietorship into a company, or restructuring a partnership into an LLP, means new registrations and, often, new contracts. Getting the structure right before you start trading saves exactly that rework.
